1. Definitions
"Service" means the InvoiceThread e-invoicing platform operated by Duckham Meridian Group Limited ("we", "us", "our"), a company registered in England and Wales. "Customer" means the entity subscribing to the Service.
2. Service Description
InvoiceThread helps customers comply with e-invoicing regulations across the UK and EU. The Service facilitates the creation, transmission, receipt and archival of electronic invoices via certified networks including Peppol and registered platforms. The Service is not a substitute for professional tax or legal advice.
3. Subscriptions and Payment
All subscriptions and billing are managed through the DMG account centre at dmg-limited.com. No payment is collected directly through the InvoiceThread application. Trial periods, pricing and plan features are as published on our pricing page.
4. Data Processing and Security
We process personal data in accordance with our Privacy Notice and UK GDPR. Invoice data is encrypted at rest using AES-256-GCM encryption. We maintain audit logs of all invoice events for regulatory compliance purposes.
5. Data Retention
Invoice records are retained in accordance with the tax retention requirements of the applicable jurisdiction (e.g., 6 years for the UK, 10 years for France, 8–10 years for Germany). We do not delete invoice records during the applicable retention period, even upon account termination.
6. Limitation of Liability
To the maximum extent permitted by law, our total liability arising from or in connection with the Service shall not exceed the fees paid by the Customer in the 12 months preceding the claim. We do not provide tax advice and are not liable for any tax obligations arising from the Customer's use of the Service.
7. Governing Law
These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
